MEMBERSHIP AGREEMENT

Please read the following agreement carefully before becoming a member of our website.

1. Parties

a) Brands of Amerika LLC, operating the website www.brandsofamerika.com, is located at 30 N Gould St, 45637 Sheridan, WY 82801, USA (hereinafter referred to as "Brands of Amerika LLC").

b) The internet user who becomes a member of the website www.brandsofamerika.com.

2. Subject of the Agreement

3. Rights and Obligations of the Parties

3.7. The member agrees not to access or use the software and data of other internet users without permission. Otherwise, all legal and criminal responsibilities arising from this will be entirely the member's responsibility.

3.8. If the member violates any of the terms of this agreement, the member will be personally responsible for legal and criminal consequences. Brands of Amerika LLC will be exempt from any legal and criminal consequences of these violations. Additionally, if the violation leads to a legal dispute, Brands of Amerika LLC reserves the right to seek compensation for non-compliance with the membership agreement.

3.10. The software and design of the website www.brandsofamerika.com are the property of Brands of Amerika LLC, and intellectual property rights related to these are protected by the relevant laws.

5. Dispute Resolution
In case of disputes regarding this agreement, the Courts and Enforcement Offices in Istanbul, Turkey, will have jurisdiction.

6. Effectiveness
By registering as a member, the member is deemed to have read and accepted all the terms of this membership agreement. This Agreement is made upon the member’s registration and is effective immediately.

    3. Tarafların Hak ve Yükümlülükleri

    3.1. Üye, www.brandsofamerika.com internet sitesine üye olurken verdiği kişisel ve diğer sair bilgilerin kanunlar önünde doğru olduğunu, Brands of Amerika LLC'nin bu bilgilerin gerçeğe aykırılığı nedeniyle uğrayacağı tüm zararları aynen ve derhal tazmin edeceğini beyan ve taahhüt eder.

    3.2. Üye, Brands of Amerika LLC tarafından kendisine verilen şifreyi başka kişi veya kuruluşlara veremez; şifreyi yalnızca kendisi kullanma hakkına sahiptir. Bu sebeple doğabilecek tüm sorumluluklar ve üçüncü kişiler veya yetkili merciler tarafından Brands of Amerika LLC'ye karşı ileri sürülebilecek tüm iddialar, Brands of Amerika LLC’nin izinsiz kullanım nedeniyle doğacak her türlü tazminat ve talep hakkı saklıdır.

    3.3. Üye, www.brandsofamerika.com internet sitesini kullanırken yasal mevzuata uygun hareket edeceğini ve bunları ihlal etmeyeceğini baştan kabul ve taahhüt eder. Aksi takdirde doğacak tüm hukuki ve cezai yükümlülükler tamamen ve münhasıran üyeyi bağlayacaktır.

Bu görüş ve düşüncelerin Brands of Amerika LLC ile hiçbir ilgisi yoktur. Brands of Amerika LLC’nin, üyenin beyan edeceği fikirler nedeniyle üçüncü kişilerin uğrayabileceği zararlardan ve üçüncü kişilerin beyan edeceği fikirler nedeniyle üyenin uğrayabileceği zararlardan sorumluluğu yoktur.

    3.6. Brands of Amerika LLC, üye verilerinin yetkisiz kişilerce okunmasından veya üye yazılımına ve verilerine gelebilecek zararlardan sorumlu değildir. Üye, www.brandsofamerika.com internet sitesinin kullanılmasından dolayı uğrayabileceği herhangi bir zarar yüzünden Brands of Amerika LLC’ten tazminat talep etmemeyi peşinen kabul etmiştir.

    3.7. Üye, diğer internet kullanıcılarının yazılımlarına ve verilerine izinsiz olarak ulaşmamayı veya bunları kullanmamayı kabul etmiştir. Aksi takdirde, bundan doğacak hukuki ve cezai sorumluluklar tamamen üyeye aittir.

    3.8. İşbu üyelik sözleşmesi içerisinde sayılan maddelerden bir veya birkaçını ihlal eden üye, işbu ihlal nedeniyle cezai ve hukuki olarak şahsen sorumlu olup, Brands of Amerika LLC bu ihlallerin hukuki ve cezai sonuçlarından ari tutulacaktır. Ayrıca; işbu ihlal nedeniyle, olayın hukuk alanına intikal ettirilmesi halinde, Brands of Amerika LLC'nin üyeye karşı üyelik sözleşmesine uyulmamasından dolayı tazminat talebinde bulunma hakkı saklıdır.

    3.9. Brands of Amerika LLC, her zaman tek taraflı olarak gerektiğinde üyenin üyeliğini silebilir, müşteriye ait dosya, belge ve bilgileri silebilir. Üye, bu tasarrufu önceden kabul eder. Bu durumda, Brands of Amerika LLC’nin hiçbir sorumluluğu yoktur.

    3.10. www.brandsofamerika.com internet sitesinin yazılım ve tasarımı Brands of Amerika LLC mülkiyetindedir ve bunlara ilişkin telif hakkı ve/veya diğer fikri mülkiyet hakları ilgili kanunlarla korunmaktadır.

    3.11. Brands of Amerika LLC, üyenin kişisel bilgilerini yasal bir zorunluluk olarak istendiğinde veya (a) yasal gereklere uygun hareket etmek; (b) Brands of Amerika LLC ve www.brandsofamerika.com web sitesinin haklarını korumak için gerekli olduğunda açıklayabilir.

    3.12. www.brandsofamerika.com web sitesinin virüs ve benzeri amaçlı yazılımlardan arındırılmış olması için gerekli tedbirler alınmıştır. Ancak nihai güvenliğin sağlanması için kullanıcının kendi virüs koruma sistemini tedarik etmesi gerekmektedir.

    3.13. Brands of Amerika LLC, üyelik sözleşmesinin koşullarını her zaman değiştirebilir, güncelleyebilir veya iptal edebilir. Değiştirilen her hüküm, yayın tarihinde tüm üyeler için geçerli olacaktır.

    3.14. Brands of Amerika LLC, işbu üyelik sözleşmesi uyarınca, üyelerinin kendisinde kayıtlı elektronik posta adreslerine bilgilendirme e-postaları ve cep telefonlarına bilgilendirme SMS'leri gönderme yetkisine sahiptir.

    4. Sözleşmenin Feshi
    İşbu sözleşme üyenin üyeliğini iptal etmesi veya Brands of Amerika LLC tarafından üyeliğinin iptal edilmesine kadar yürürlükte kalacaktır. Brands of Amerika LLC, üyenin üyelik sözleşmesinin herhangi bir hükmünü ihlal etmesi durumunda üyenin üyeliğini iptal ederek sözleşmeyi tek taraflı olarak feshedebilecektir.

    5. İhtilafların Halli
    İşbu sözleşmeye ilişkin ihtilaflarda İstanbul Mahkemeleri ve İcra Daireleri yetkilidir.

    6. Yürürlük
    Üyenin, üyelik kaydı yapması, üyelik sözleşmesinde yer alan tüm maddeleri okuduğu ve kabul ettiği anlamına gelir. İşbu Sözleşme üyenin üye olması anında akdedilmiş ve karşılıklı olarak yürürlüğe girmiştir.
